Jenni F. Wisniewski

Ms. Wisniewski practices in the area of franchising, licensing and distribution, trademarks and real estate transactions. Such matters include franchise registration and disclosure; franchise sales compliance; relationship laws and drafting offering circulars, franchise agreements, multi-unit agreements, regional director agreements and other franchise-related agreements. Her practice also includes prosecuting trademark applications before the United States Patent & Trademark Office, counseling clients on trademark enforcement and disputes, negotiating licenses and distribution agreements and negotiating commercial leases and sale/leaseback transactions.
Ms. Wisniewski has authored a number of articles including "Ins and Outs of Franchising Your Business Model," Denver Business Journal (May 2006); "Franchises," Chapter 29, Practitioners Guide to Colorado Business Organizations (2006) (co-author); "How Early-Stage Companies Can Appeal to Investors," Front Range Techbiz (January 2002); and "Companies can Avoid the Legal Pitfalls of Doing Business on the Web," Front Range Techbiz (May 2000).
Ms. Wisniewski has also served as a guest lecturer on franchising and trademarks at various events including the 40th Annual International Franchise Association's Legal Symposium, Drafting Franchise Agreements (May 2007); the International Franchise Association Annual Meeting, Trademark Roundtable (February 2006); the Business Law Institute, Fundamentals of Franchising (2005); and the Colorado Bar Association Franchise Subsection and the Boulder Bar Association Intellectual Property Subsection, Fundamentals of Franchising (2005, 2006, 2007).
Ms. Wisniewski serves as the Co-chairperson for the International Franchise Association's Denver Chapter of the Women's Franchise Network and the Chairperson for the Colorado Bar Association's Franchise Subsection. She is also recognized as a Franchise Times Legal Eagle (2007).
Experiences
- Representing start-up and established franchise systems in all areas including state and federal disclosure, registration, renewals, relationship laws, franchise sales, compliance issues, acquisitions and dispute resolution and drafting offering circulars for both unit, area and regional director programs, franchise agreements, regional director agreements and related agreements;
- Representing licensors and licensees in negotiating trademark, trade secret and technology licenses and development agreements in the restaurant, service, retail and software industries;
- Representing clients in trademark matters, including trademark prosecution, clearance, enforcement and dispute resolution;
- Representing landlords and tenants in negotiating commercial ground and space leases and representing buyers and sellers in real estate acquisitions and sale/leaseback transactions.
